Seller Terms and Conditions

Introduction
These Seller Terms and Conditions (the Terms) set out the terms under which independent sellers and makers (the Seller or you) use the online marketplace platform neta.market (Neta or the Platform).
The Platform is operated by SIA NetaDEV, registration number 40203665238, with its registered address at Smiltenes nov., Variņu pag., "Lejaslazdiņi", LV-4726 (the Platform Operator or we).
By registering as a Seller and using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, the General Terms of Use, and the Privacy Policy.
1. General Terms
1.1. Neta is an online marketplace that provides the technical infrastructure for communication between Sellers and Buyers, order placement, payment facilitation (where applicable), and delivery coordination.
1.2. Neta is not the seller, owner, or manufacturer of the goods and assumes no responsibility for the quality, conformity, or lawfulness of goods offered by Sellers.
1.3. The purchase agreement is concluded directly between the Seller and the Buyer. Neta is not a party to that agreement.
2. Seller Status and Obligations
2.1. The Seller acts on the Platform as an independent service provider or seller of goods and shall be fully responsible for:
- the accuracy of product descriptions, pricing, and availability;
- the quality of the goods and their conformity with the description;
- the lawfulness of the goods and compliance with applicable laws and regulations;
- the payment of taxes and other mandatory charges;
- communication with the Buyer during order fulfillment;
- the production of the goods and their timely handover for delivery;
- compliance with consumer protection requirements.
2.2. The Seller represents and warrants that all goods offered on the Platform:
- have been created by the Seller or otherwise lawfully acquired for resale;
- do not infringe the intellectual property rights of third parties;
- comply with consumer protection requirements;
- are safe for use and comply with mandatory legal requirements.
2.3. The Seller is prohibited from offering goods that are unlawful, dangerous, counterfeit, or infringe the rights of third parties.
3. Store Creation and Management
3.1. In order to sell goods on the Platform, the Seller must create a store profile containing accurate and complete information.
3.2. The Seller undertakes to:
- keep information about the Seller and the offered goods up to date;
- use high-quality images that accurately reflect the goods;
- provide detailed and truthful product descriptions;
- state accurate production times and availability;
- update inventory information in a timely manner.
3.3. Neta reserves the right, without prior notice, to remove listings or restrict access to a store where these Terms are violated.
4. Order Processing
4.1. An order shall be deemed placed at the moment the Buyer confirms it on the Platform.
4.2. The Seller undertakes to:
- confirm or reject the order within a reasonable period of time;
- inform the Buyer of the order status and the estimated fulfillment time;
- produce and hand over the goods for delivery within the specified period;
- ensure that the goods conform to the description and are packaged appropriately.
4.3. If the Seller is unable to fulfill the order, the Seller must immediately inform the Buyer and ensure a refund is made where payment has already been received.
4.4. Neta provides technical order registration, but does not intervene in the substance of the purchase agreement between the Seller and the Buyer.
5. Payment Models
5.1. Stripe Connect Payments
5.1.1. The Seller may activate Stripe Connect to enable Buyers to pay using:
- payment cards;
- Apple Pay;
- Google Pay;
- other payment methods supported by Stripe.
5.1.2. In such case:
- the Buyer's payment is processed through Stripe;
- the platform commission (5% of the product price) is deducted from the payment amount;
- the delivery fee is deducted where delivery is organized through Neta;
- the remaining amount is transferred to the Seller's Stripe account.
5.1.3. Stripe acts as an independent payment service provider. By registering on the Stripe platform, the Seller agrees to Stripe's applicable terms and conditions.
5.2. Payments Outside Neta (Bank Transfer)
5.2.1. Where the Seller does not accept Stripe payments:
- Neta may generate an informational order summary or invoice;
- payment is made directly between the Buyer and the Seller;
- the Seller independently determines the payment procedure and deadlines.
5.2.2. In such cases:
- Neta does not process or store payment details;
- Neta shall not be liable for receipt of payment, payment deadlines, or related disputes;
- the Seller assumes full responsibility for performance of the transaction.
6. Delivery Arrangements
6.1. The Seller may choose from the following delivery options:
- use delivery arrangements offered by Neta;
- arrange delivery independently.
6.2. Delivery Arranged Through Neta
6.2.1. Where the Seller selects delivery organized by Neta:
- the delivery fee is added to the total order amount;
- the delivery fee is deducted from the Buyer's payment;
- Neta settles the payment with the delivery service provider;
- the Seller must hand over the goods to the courier at the specified time and place.
6.2.2. Neta does not itself perform the physical delivery of goods, but acts as a delivery organizer.
6.3. Delivery Organized Independently by the Seller
6.3.1. Where the Seller chooses to organize delivery independently:
- the Seller independently determines the delivery method and costs;
- the Seller is responsible for fulfillment of delivery;
- Neta assumes no liability for delivery delays or related issues.
7. Commission and Fees
7.1. The platform commission is 5% of the product price and applies only to Stripe Connect payments.
7.2. The commission does not apply to:
- delivery fees;
- payments made outside Neta (bank transfers).
7.3. Neta reserves the right to change the commission amount by giving Sellers at least 30 days' prior notice before the changes take effect.
7.4. Commissions are deducted automatically from the payment before funds are transferred to the Seller.
8. Right of Withdrawal and Statutory Guarantee
8.1. The Seller is fully responsible for ensuring compliance with consumer rights, including the right of withdrawal and the statutory guarantee.
8.2. Right of withdrawal: In accordance with Latvian law, the consumer has the right to withdraw from the purchase within 14 days from receipt of the goods, subject to the exceptions established by law (for example, made-to-order goods).
8.3. Statutory guarantee: The Seller is responsible for conformity of the goods with the contract for 2 years from the date of delivery in accordance with the Consumer Rights Protection Law.
8.4. The Seller undertakes to:
- accept returned goods in accordance with legal requirements;
- refund the consumer within 14 days after receipt of the withdrawal notice;
- bear the return costs where the goods do not conform to the description;
- provide repair, replacement, or refund within the scope of the statutory guarantee.
8.5. Neta may provide technical support for communication, but shall not be responsible for the execution of any return or guarantee process.
9. Liability
9.1. The Seller shall be fully responsible for:
- the quality, safety, and conformity of the goods with the description;
- timely fulfillment of orders;
- communication with Buyers;
- resolution of disputes with Buyers;
- compliance with consumer protection requirements;
- payment of taxes and other charges.
9.2. Neta shall not be liable for:
- acts or omissions of the Seller or the Buyer;
- losses arising in connection with the transaction;
- the conduct of delivery service providers;
- temporary unavailability of the Platform due to maintenance or technical disruption.
9.3. The Seller undertakes to indemnify Neta against all losses arising from the Seller's breach of these Terms or negligence.
10. Personal Data Processing
10.1. The Seller undertakes to process personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Latvian laws and regulations.
10.2. Depending on the delivery and payment model, the Seller may act as:
- a processor of personal data - where data is processed on behalf of Neta;
- a separate controller of personal data - where data is processed independently in connection with self-arranged delivery or direct communication.
10.3. The Seller undertakes to:
- use Buyers' personal data solely for the purpose of fulfilling the order;
- not disclose such data to third parties without a lawful basis;
- ensure the security and protection of personal data;
- delete such data when it is no longer necessary.
11. Account Suspension and Termination
11.1. Neta reserves the right to suspend or terminate the Seller's account in the following cases:
- breach of these Terms;
- offering unlawful or prohibited goods;
- repeated Buyer complaints;
- fraudulent activity or attempted fraudulent activity;
- provision of false information.
11.2. The Seller may terminate its account at any time by notifying Neta and fulfilling all outstanding orders.
11.3. Termination of the account shall not release the Seller from obligations owed to Buyers in relation to orders already placed.
12. Intellectual Property
12.1. The Seller retains ownership rights in the content uploaded by the Seller, including images and descriptions.
12.2. By uploading content to the Platform, the Seller grants Neta a non-exclusive licence to use such content for the operation of the Platform and for marketing purposes.
12.3. The Seller represents and warrants that the uploaded content:
- has been created by the Seller or the Seller otherwise has the right to use it;
- does not infringe the intellectual property rights of third parties;
- does not contain unlawful or offensive content.
13. Amendments to the Terms
13.1. Neta may amend these Terms at any time.
13.2. Sellers shall be informed of material amendments on the Platform or by email at least 15 days before such amendments take effect.
13.3. By continuing to use the Platform after amendments have taken effect, the Seller acknowledges and accepts the updated Terms.
13.4. If the Seller does not agree to the amendments, the Seller has the right to terminate its account before the amendments take effect.
14. Final Provisions
14.1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Latvia.
14.2. All disputes shall first be resolved through negotiations. If no agreement is reached, the dispute shall be resolved by a court of the Republic of Latvia.
14.3. The Latvian-language version of these Terms shall prevail and be legally binding.
14.4. If any provision of these Terms is held to be invalid or unenforceable, this shall not affect the validity or enforceability of the remaining provisions.
